2Q is Out!

As of August 14, 2013, there were 293,953,846 shares of common stock outstanding.

In April 2013, the Company’s investment in ZeroPoint was restructured in conjunction with a new preferred stock financing.

Revenues for the three months ended June 30, 2013 were $4.7 million as compared to $4.2 million generated during the three months ended June 30, 2012.

I bet Mr. Fallat is pissed. If he only waited a week or two the number of OS, basic count would have been large enough that 5% of that total would have been larger than his 18 million (5% of 400 million = 20 million). He wouldn't have had to file the Form SC 13D that divulged all that personal information to the entire world. I would be pissed.

Also, GERS is no longer (under the cover of "accounting principles") telling us how big the OS, fully diluted count is.

Although I am by no means chortling, in fact it is a sad commentary, but I did project the OS, basic count to be between 250 and 300 million (despite the ridicule that this brought me). It had to be, due to the expanded litigation. Over the past year including yesterday we have been reading:

We additionally expect to continue to incur substantial costs in connection with our ongoing litigation for infringement of our patented corn oil extraction technologies. These costs increased during 2012 and are expected to continue to increase through 2013 in advance of trial, and as we expand our litigation this year to protect the competitive advantage of our licensees by prosecuting additional producers and other parties infringing our patents. These expenses may delay or otherwise adversely affect our ability to achieve our profitability and debt reduction goals. We hope to eventually eliminate our litigation expense, but we must and will take all necessary steps to bring infringement of our patents to an end. We have reserved cash for this purpose.

I believed that referred to the MDL litigation only. In yesterday's filing we learned that they have spent $1.1 million in the first six months on defending their intellectual property. This number far exceeds the $50,000 per month described previously as the new C&C agreement ($300,000 total for the first 6 months). So how do they obtain the required funds beyond the reserves? Dilution. As I have stated this was inevitable. Also, Slash is marveling at the increase in cash reserves documented yesterday, why weren't they used for the purpose described above instead of requiring the common shareholders to support these expenses?

Now we wait for the next shoe to drop -- the R/S.

Also did you notice this:

Selling, general and administrative expenses consist of payroll, office expenses, insurance, and professional fees for accounting, legal, consulting and investor relations activities. Payroll, including employee salaries, incentives and benefits, are the largest single category of expenditures in selling, general and administrative expenses. Other income (expense) includes interest earned, interest expenses, amortization expenses, income or expenses relating to the changing value of the conversion benefit embedded into our convertible debentures and other non-operating items. Notably, our agreements with our lenders provide for the accrual of our interest expenses pending conversion or other payment.

This category was up $1.3 million over last quarter at this time ($1.9 million versus $0.6 million). I am not adverse at all that these folks get paid what they are worth, but it is clear they are getting paid as we pay in even more to keep the good ship GERS afloat.

This was Nobody's response yesterday after only $157 in sales "Despite all this pomp and circumstance, we are down more than 15% for the day and 99.9999% in seven years. Everything else is "smoke and mirrors"." Now, he's trying to make a mockery of $4000 in sales. What a JERK!
