Annual Report is OUT!

Our primary source of liquidity during 2012 was cash produced by our operations. During the year ended December 31, 2012, we produced about $2.3 million in cash from our operating activities and we used about $1.6 million in our financing activities. During the year ended December 31, 2011, we produced about $1.3 million in net cash in our operating activities and about $2.5 million in net cash from investing activities, and we used about $2.4 million in net cash in our financing activities. Our cash balances at December 31, 2012 and December 31, 2011 were about $2.0 million and $1.4 million, respectively. The Company had a working capital deficit of about $41 million at December 31, 2012, about $34 million of which was attributable to current obligations convertible into Company common stock.

We had hoped for new financing, did not get it; extension with YAGI (IF it goes through) likely more toxic, and a strong indication that GERS has failed to find a new "sugar daddy"; which means that potential suitors may have not judged the risk commensurate with the return -- a sobering near term reality.

    We had hoped for a major new signing, instead we get strong hints of another round of litigation.

    We had hoped for an early end to current litigation, instead we get an indication that this one will continue for quite a while.

    We had hoped for an end to dilution, instead we get new language indicating the possibility of dilution so severe that a R/S may be required.

    None of the events needed to move forward appear imminent. The payoff appears over the distant horizon (you may have read those words before from someone labeled as a paid GERS' "basher").

    Who is "bashing" now, and what will buoy the PPS?

    They were profitable. They increased cash from operations. They have more cash in the bank than at the start of the year. They paid down total debt by $5 million, net of $1.8 million in additional accrued interest. $2 million of that amount was paid with cash, $1 million with stock and the balance in settlements for neither stock or cash (extinguishments). The dilution could have been triple what it was. They increased licensed plants and produced higher gross profit margins. They received new patents and won a major ruling in their litigation. Did anyone see poets latest pr on corn oil? $250 million per year from corn oil. They have 'green shifted' an entire industry. They are trying to do it again with new patents.

    Not failing is one thing. What is happening in front of us, tedious and frustrating as it may be, is different. It is something remarkable.

    This company should be dead a dozen times over. Yet, time and time again they do the opposite. They succeed. They are creating value.

    Now we are all betting girls and boys. It's what we do. Some of us, like sKunK, are convinced that it is just a matter of time. That this company is like a pressure cooker. Every step forward adds a little more fuel to the fire, builds a little more pressure as yagi keeps pressing down and their overhang attempts to smother the value. sKunK and slash and their ilk are in the minority, they are betting that the pressure cooker will eventually explode. They read everything and bide their time, looking for entry points, and they make sure we all know it whenever gers adds fuel to the fire, fanning the flames.

    Some of us, like Nobody and yagi's traders, don't care about the positives except where good news squeezes their margins and reduces their gains. They bet on dilution and pressure. They bet on supply beating demand in all markets and at all prices, and they are willing to spend untold hours trawling and posting these boards to beat down demand and to make sure that none of you get in their way. They post 350 days per year, year in, year out. They are always posting against demand. 8 times out of 10, it works and they will make 5-10% margins from one week to the next betting on dilution - and it is why they are still here. However, they live in constant fear of a single event, that could cause the pressure cooker to let off some steam or, worse, explode.

    Some of us, like me, are content to be second. To make less money by risking less. To come in after the explosion. The more the sKunKs among us fan the flames, and the more that the Nobodys try to smother them, the more I believe an explosion is inevitable.

    That is one thing we apparently all have in common.

Yet, it looks like he read the 10-K a little closer last night and even that paltry sum is too much to put forward now.

What we may disagree on is the time frame in which it is going to occur. I have stated many times that unless lightening strikes (I defined exactly what these events would be) that the time frame is in years not months. The 10-K documented no lightening strikes on the horizon.

  33. I'm just glad litigation costs are inclusive of damages. I welcome the expanded litigation against public companies that shall be exposed for the crimes they're commiting.

    We all know how the court case is going in our favor. Dilution is full proof of the damages and more reason for the court's to step in with an injunction halting the theft of patented technology.

    We've seen infringing REX, PEIX, and VLO report substantial losses and GPRE, ANDE, BIOF report profits/record yields.

    I love the all of the above way they're going about this. Demonstrate.

    GERS made a profit of $2.5 million in 2012. That was during the worst drought in 5 decades. We'll be in good shape if GERS can increase that in 2013 with new technology, new licenses, settlements and injunctions.

    A profit af $2.5 million alone is enough to cover $200,000 a month.

    It's agood thing YA has our back. They're behind us with a tight leash but GERS kept their word by paying $1.6M in 2012 and has agreed to $2.4M this year. They keep building cash, with over $2M as of Dec 31.

    It's a good sign GERS is repaying YA at a higher rate, making a profit, expanding the litigation, and deploying new technology.

    Most importantly, we're winning in court.

They previously stated that an R/S and dilution MAY be needed. Just because that exact same wording may not be in some other company's 10-K is irrelavant. Don't let this Basher fool you by constantly changing the topic.

    Read what I stated; in the last three filings, those were Q's not K's. "This is new language: The resale of shares acquired by our lenders may reduce the market price of our common stock. We may be required to amend our certificate of incorporation to reverse split our common stock.

    You can verify this by using the search engine in WORD and searching the last three filings for "amend our certificate" -- it ain't there to coin a phrase."

    Attempts to discredit people who bring forth balanced and objective information is not working.

    You will also note that it is others that claimed that the above language is legally required boiler plate for all filings. That inaccurate statement had to be corrected. Taking exception to providing the correct information also serves no useful purpose.

    The euphorians are clearly becoming desperate with their fabrications.

    Producers of biodiesel can make a profit thanks to Greenshift's COES.
    Consumers and retailers are realizing the benefits of biodiesel .

    Corn oil based biodiesel is clean buring and even a small percentage of biodiesel substantially increases the lubricity in engines.

    STREATOR, Ill. (DTN) -- A report issued this month by the Iowa Department of Revenue shows biodiesel sales more than tripled from 7.4 million gallons in 2010 to 23.3 million gallons in 2012.

    DOR details biodiesel's market penetration, showing biodiesel is blended in 42.6% of all Iowa diesel sales, an increase of 10% compared to 2010.

    Total diesel gallons reported were 671.3 million and total biodiesel gallons were 286.3 million, or 42.6% biodiesel of the total diesel fuel sold in 2012.

    "The primary purpose of this report is to provide the information needed to determine the state's progress toward replacing 25% of petroleum-based motor fuels with biofuels by the year 2020," the report said.

    In 2012, total biofuels accounted for 10.2% of the total motor fuel sold.

    "Based on the data, it's obvious that both retailers and consumers are realizing the benefits of biodiesel, and that's a win for Iowa, said T.J. Page, communications director of the Iowa Renewable Fuels Association.

    Iowa's 12 biodiesel plants support nearly 5,000 jobs in the state and contribute nearly $12 million to the state's GDP according to the Iowa Renewable Fuels Association, a state biodiesel trade association.

  76. It is very clear now that the 10-K will not lift the PPS. In other words the hopes expressed on several message boards that it would have not come to fruition -- GERS failed this investor-imposed litmus test.

    Let's be honest, how could it? There are signs of positive movement but those will not be "broadcast" while this current round of litigation is still unfolding unless the attorneys believe that such dissemination is in the interest of the litigation. If you do not believe this then ask why has there not been a shareholder newsletter for the past two years; the time period in which the attorneys established this control? Shareholder newsletters were routine for many years prior to this.

    The financing is even more toxic than before, and further the failure to obtain alternative financing, a stated goal of KK, speaks volumes as to how the risk of such an investment would be viewed.

    The dilution is continuing, even accelerating. How can any legitimate investor value an investment in the face of this explosion in the number of common shares?

    The revenue is increasing (at least over Q4) but it is inadequate for cash requirements and this raises questions as to why? And this question is directly related to issues surrounding the dilution such as why is there no transparent relationship between licensee revenue and GERS' revenue? This is troubling.

    We see no end to the litigation, a clear panacea to all the ills; money to get out of debt, end of dilution, ability to expand technology and markets, and ability to attract investors (not gamblers) through both the bottom line and ability to broadcast to the world their success.

    In fact, the drum beat for additional litigation has increased, raising the very real specter that the time to removing this albatross from shareholders' necks is measured not in a few years but perhaps many years.

    The one hope for a quick fix here is a summary judgement that is quickly upheld and money forced to change hands. At best this is measured in many months. Any one believing that real settlements are going to occur has not been paying attention.

    So, if we are honest, if we were fresh to this scene, why would you jump in now? I think that most would wait, carefully observing at a distance, placing your resources in other investments in a generally surging market, waiting for the time when dilution has ended, debt has been eliminated, success can be communicated -- sometime in the not near future.

    To be honest the PPS will languish for quite a while.

    This conclusion does not incorporate the fact that this company has no real corporate governance that is responsible to shareholders. It is a fact that will always be a drag on this stock -- one that will likely never change.

    Remember ICM stated, "ICM continues to believe that under a proper interpretation of the patents' claims, the Tricanter® Oil Separation System does not infringe GreenShift's patents."

    The claims have been interpreted. Nobody in their right mind thinks the court's interpretation is what ICM "believed" to be "a proper interpretation".

    The AOS is infringing as it uses the Tricanter to extract oil from the concentrated syrup. Comparing the diagrams, they changed the "corn oil" stream to "emulsion concentrate". That's not fooling anyone. It's the same thing, mostly/largely oil with rest being water and solubles. Just like the Tricanter diagram said it is, "corn oil". The court has ruled this stream needs to be mostly/largely oil. To me this means more than half or >50% oil. As you can see in the AOS' diagram, the 50ml tube has way more than >50% oil. It looks to be around 75%. That's why they tried to add limit's claiming extraction needed to be 95%.

    The court ruled term "concentrated stillage" to mean "syrup containing water, oil, and solids". As you can see, the Tricanter's input is the syrup feed and the AOS' very own diagram refers to this stream as "a mixture of water, oil, solubles".

    Notice how they changed the name of the "de-oiled syrup" to "aqueous phase plus solids". The court ruled this is a mostly oil free stream which I believe means <50% oil. Clearly covered by GERS' patents.

    "ICM's system separates corn oil from the post-fermentation syrup stream as it leaves the evaporators."

    The AOS "treatment occurs post mechanical separation".

    ICM was:
    Wrong abount COES not being patentable,
    Wrong about the "prior art",
    Wrong about the "sale bar",
    Wrong about the " 95% ",
    Wrong about the interpretation of the claims,
    Wrong about the Tricanter not infringing,
    Wrong about AOS not infringing,
    They Failed to get the trial on their home turf,
    They Failed to get their leader off the hook...
    Their Paid Bashers Failed...

    Their own website confirms the streams, what's in them, where they are... It's all spelled out in the patents and the court/USPTO agree.

    multiplier about 10x

    that's were we are: 0,0067 $ per share, "fair value".

    so if no new depts accruing and countinued income could be raised, then 0,0067 per share should be the bottom line...

  110. Another million+ shares on the block. I have asked what can maintain the PPS in the face of this dilution? There was nothing in the 10-K that would counter this. I have received no responses and I am at a loss why the PPS will not continue to drift lower this year; ultimately leading to another R/S. I am very interested in reasons why this will not occur. I have postulated that a summary judgement is the only possibility -- one that I cannot handicap the odds of occurring some time soon.

    On March 22, at about 11:40 a.m., I saw this comment from "svandergriend" AKA Steve Vander Griend svandergriend@icminc.com

    The comment was only a few minutes old at the time, so I responded to Steve's post at about 11:45 a.m. I signed in with my yahoo slashnut's ID to be able to comment. However, Bloomberg assigned me the name "paying customer" instead of Slashnuts.

    My comment must have struck a nerve with Steve.
    I believe he clicked on my "paying customer" ID in the comment. When Vander Griend clicked that ID, it displays my city and state, Papillion Nebraska.
    I made this information private on yahoo a long time ago, but it was some how made visible through Bloomberg.
